Legal Framework for Engineering Services
These Terms and Conditions apply to all engineering consulting services provided by DerMech Solution GmbH. By engaging our services, you agree to be bound by these terms. Any deviations from these terms require explicit written agreement.
DerMech Solution provides professional engineering consulting services including but not limited to:
Specific project scope, deliverables, and timelines are defined in individual service agreements or statements of work.
All quotes and proposals are valid for 30 days from the date of issuance unless otherwise specified. Prices are quoted in EUR or TWD and exclude applicable taxes unless otherwise stated. Project estimates are based on information provided at the time of quotation and may be adjusted if project requirements change.
Payment terms are as follows:
All invoices are payable within 14 days of receipt unless otherwise agreed in writing.
Unless otherwise agreed in writing, all intellectual property rights to engineering designs, documentation, software, and deliverables created by DerMech Solution remain with DerMech Solution until full payment is received. Upon complete payment, clients receive a non-exclusive, non-transferable license to use the deliverables for their intended business purposes.
DerMech Solution shall not be liable for indirect, incidental, special, or consequential damages, including but not limited to loss of profit, revenue, or data. Our total liability under any contract shall not exceed the total fees paid by the client for the specific services giving rise to the claim. This limitation does not apply to cases of gross negligence or willful misconduct.
Engineering consulting services are provided on an 'as-is' basis. While we strive for accuracy and quality in all deliverables, we do not warrant that engineering designs, analyses, or recommendations will be free from errors or will achieve specific operational results. Clients are responsible for validating all engineering outputs against their specific requirements and applicable regulations before implementation.
These Terms and Conditions shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). Disputes arising from or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of [PLACEHOLDER CITY], Germany, unless applicable law provides for mandatory consumer protection jurisdiction.
If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Failure to enforce any right under these terms shall not constitute a waiver of such right. These terms may only be modified by a written amendment signed by both parties.
